1. Agreement to Terms

By accessing or using the BreederLoop.com website, located at breederloop.com, and our services ("Service"), operated by BreederLoop.com ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access or use the Service.

We reserve the right to update or modify these Terms and our Service at any time without prior notice. This includes the right to change, suspend, or discontinue any aspect of the Service, which may involve adding, removing, or changing features, including those that are currently offered without limits. We will endeavor to provide reasonable notice of any material changes. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms and your agreement to the Service as modified.

2. User Accounts and Responsibilities

To use certain features of the Service, you must register for an account and provide accurate and complete information. You are solely responsible for all activities that occur under your account and for maintaining the confidentiality of your password. You agree to notify us immediately of any unauthorized use of your account. 3. License for Commercial Use & Intellectual Property

a. License Grant. Permission is granted to temporarily access the materials and utilize the tools and services of BreederLoop.com (including but not limited to creating animal profiles, using the reminder system, and listing animals for sale) for the purpose of operating your commercial breeding business in compliance with these Terms. This is the grant of a limited, non-transferable, and revocable license.

b. Prohibited Uses. Under this license, you may not: modify, copy, or distribute the underlying materials, code, or design of the BreederLoop website; use the materials for any public display outside of the Service; attempt to decompile or reverse engineer any software; remove any copyright or other proprietary notations; or transfer the materials to another person or "mirror" them on any other server. This clause is intended to protect the intellectual property of BreederLoop, not to restrict your use of the site's features to run your business.

c. User-Generated Content. By posting content on the Service (e.g., photos, text, and other materials related to your listings), you grant us a non-exclusive, royalty-free, perpetual, and worldwide license to use, display, and distribute your content solely for the purpose of operating and promoting the Service. You warrant that you have the right to grant this license and that your content does not infringe on any third-party intellectual property rights.

4. Marketplace Transactions & Prohibited Content

a. Disclaimer of Liability. BreederLoop.com provides a platform for users to list and view animals for sale but is not a party to any transaction. We do not handle payments, shipping, or guarantees. We are not responsible for the accuracy of listings, the health, quality, or legality of any animals sold, or the conduct of any user. Users are solely responsible for conducting their own due diligence.

b. Prohibited Listings. You are solely responsible for all content you post and all activities that occur under your account. You agree that your use of the Service, including the listing and sale of any animals, will comply with all applicable federal, provincial, and local laws and regulations. This includes, without limitation, all laws pertaining to animal welfare, the sale, possession, and transport of exotic or endangered animals, and any licensing requirements. We reserve the right to remove any listing or account that we, in our sole discretion, suspect to be illegal or in violation of these Terms, without notice or liability.

5. AI-Powered Features

The Service may include AI-powered features (e.g., reminder systems, content screening) designed for informational purposes only. These features may produce inaccurate or incomplete information. You should not rely on the output of these features for any critical decisions. Always verify information from reliable sources and consult with professionals (e.g., veterinarians, animal trainers) as needed. BreederLoop.com is not liable for any damages or losses arising from the use of or reliance on AI-generated content or reminders.

6. Disclaimer & Limitation of Liability

The Service and all materials on BreederLoop.com are provided on an 'as is' and 'as available' basis. BreederLoop.com makes no warranties, expressed or implied, regarding the Service's accuracy, reliability, or fitness for a particular purpose. To the fullest extent permitted by law, BreederLoop.com shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, goodwill, data, or other intangible losses, resulting from your use of the Service.

7. Indemnification

You agree to indemnify and hold harmless BreederLoop.com and its officers, directors, employees, and agents from any and all claims, liabilities, damages, losses, or expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your infringement of any third-party right.

8. Governing Law & Jurisdiction

These Terms of Service and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law provisions. You irrevocably submit to the exclusive jurisdiction of the courts located in Brockville Ontario for the resolution of any disputes.

9. Assignment

You agree that we may, in our sole discretion, assign or transfer this Agreement, as well as our rights and obligations under this Agreement, to any person or entity at any time. This includes, without limitation, in the event of a merger, acquisition, sale of assets, or by operation of law. Your obligations under this Agreement may not be assigned without our prior written consent. In the event of such a transfer, we will use reasonable efforts to provide you with notice in accordance with our Privacy Policy. The new entity will assume our rights and obligations under this Agreement.

10. Cooperation with Authorities

You acknowledge and agree that we may, without prior notice to you, access, preserve, and disclose your account information and content if required to do so by law or in a good faith belief that such access is reasonably necessary to: (i) comply with legal process (such as a search warrant, subpoena, or court order); (ii) enforce these Terms of Service; (iii) respond to claims of content violations; or (iv) protect the rights, property, or personal safety of our company, our users, or the public.

11. Termination & Refunds

a. Termination by Us. We may, in our sole discretion, suspend or terminate your account and your access to the Service at any time and for any reason, including, but not limited to, a breach of these Terms. If we terminate your account for a breach of these Terms, you understand and agree that you shall not be entitled to a refund of any fees, including subscription fees, paid for the unused portion of your service.

b. Termination by You. You may terminate your account at any time by following the instructions on the Service. In the event of such a termination, you will not be entitled to a refund of any fees paid for the unused portion of your service, unless required by law.

12. Privacy Policy

Your access and use of the Service is also governed by our Privacy Policy, which can be found at our Privacy Policy Page. By using the Service, you consent to the collection, use, and disclosure of your personal information as described in the Privacy Policy.
